Foreign direct investment (FDI) has become a necessity for development, particularly in developing countries. As a result, governments continuously strive to attract foreign investment through competition. There has been a growing trend toward including anti-corruption clauses in international investment and commercial contracts. Some treaties, such as the Trans-Pacific Partnership (TPP), contain substantive and procedural obligations, including criminalizing corruption, promoting integrity among public officials, and raising public awareness about the risks of corruption in investment. Bilateral investment treaties (BITs) serve as instruments for attracting foreign capital by providing incentives and appropriate behavioral standards to protect foreign investors against issues such as non-discrimination, commitment guarantees, expropriation, profit repatriation, and dispute resolution mechanisms. The Islamic Republic of Iran has recently ratified 61 bilateral agreements on mutual promotion and protection of foreign investments with various countries in the Islamic Consultative Assembly (Parliament). The objective of this research is to examine the clauses in foreign investment agreements and intellectual property (IP) rights. Given the nature of the subject, this study adopts a descriptive-analytical methodology. Accordingly, this research seeks to analyze the clauses included in bilateral foreign investment agreements concerning the protection of intellectual property rights under Iranian law.
